Terms and Conditions

These Terms and Conditions ("Terms") govern your use of bigboyexotics.com (the "Site") and any concierge sourcing, listing, authentication, or delivery-coordination services provided by Liora Labs, Inc., a Delaware corporation, doing business as Big Boy Exotics ("Liora Labs," "Big Boy Exotics," "we," "us," or "our"). By using the Site or engaging our Services, you agree to these Terms.

1. Our Role — Concierge Brokerage, Not a Dealer

Big Boy Exotics operates as a concierge brokerage. We do not own, hold title to, or maintain physical lot inventory of the vehicles referenced on the Site unless expressly stated otherwise for a specific listing. We source, verify, and facilitate connections between buyers, sellers, and our network of partner dealers and brokers. Any purchase, sale, or transfer of a vehicle is a separate transaction between the buyer and the applicable seller or dealer, subject to that party's own terms, disclosures, and applicable law.

Where we work directly with a licensed dealer partner on a transaction, that dealer's licensing and dealer-specific disclosures apply to the sale in addition to these Terms.

2. Eligibility

You must be at least 18 years old and legally able to enter binding contracts to use our Services.

3. Requesting a Search or Listing a Vehicle

• Buyers: Submitting a "Request a Search" or "Find a car" inquiry is a request for us to search our network on your behalf. It does not guarantee that a matching vehicle will be found, nor does it obligate you to purchase any vehicle we present.
• Sellers: Submitting a "List your car" request is a request for us to evaluate your vehicle for potential inclusion in our network. Listing is subject to our verification and authentication process and is not guaranteed. Vehicles are not made public until authentication and signed listing documentation are complete.

4. Verification & Authentication

We take reasonable steps to verify the authenticity, condition, and history of vehicles we source or list, including inspection where appropriate. However:

• Verification is based on available records, third-party inspection, and information provided by sellers or dealer partners, and cannot guarantee the complete history or future condition of any vehicle.
• We are not the manufacturer of any vehicle and make no warranty regarding a vehicle's performance, mechanical condition, or fitness for a particular purpose beyond what is expressly stated in writing for a specific transaction.
• Buyers are encouraged to obtain an independent pre-purchase inspection before finalizing any transaction.

5. Pricing & Fees

• Pricing information, where displayed, is subject to change without notice and does not constitute a binding offer.
• Our concierge fees, if applicable, will be disclosed to you in writing before you are obligated to pay them.
• We do not charge hidden fees; any charges applicable to a specific engagement will be itemized and agreed to before you commit.

6. Deposits

Where a deposit is required to hold, source, or secure a specific vehicle, the terms of that deposit (amount, refundability, and conditions) will be provided to you in writing prior to payment and will govern that specific transaction.

7. No Guarantee of Availability

Vehicles referenced on the Site — including in Preferred Inventory, the Million Dollar Club, or any other collection — may be sold, withdrawn, or become unavailable at any time without notice, including off-market or auction vehicles that depend on third-party sellers.

8. User Conduct

You agree not to:

• Use the Site for any unlawful purpose or to submit false, fraudulent, or misleading information (including false vehicle details or false buyer/seller intent)
• Attempt to interfere with the Site's operation or security
• Scrape, copy, or republish Site content, including inventory listings and photography, without our written permission

9. Intellectual Property

All content on the Site — including text, graphics, logos, photography, and video — is owned by Big Boy Exotics or licensed to us, and is protected by applicable intellectual property law. You may not reproduce or use it without our prior written consent, except for personal, non-commercial reference.

10. Third-Party Links & Partners

The Site may reference or link to third-party dealers, brokers, or platforms. We are not responsible for the content, accuracy, availability, or practices of third parties, and inclusion of a partner does not constitute an unconditional endorsement.

11. Limitation of Liability

To the maximum extent permitted by law, Big Boy Exotics and its owners, employees, and partners will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Site or Services, or from any transaction facilitated through our network, including but not limited to disputes between buyers and sellers, vehicle condition issues discovered after delivery, or delays in sourcing or delivery.

Our total liability for any claim arising from the Services, if permitted, will not exceed the amount of fees actually paid by you to Big Boy Exotics for the specific engagement giving rise to the claim.

12. Indemnification

You agree to indemnify and hold Big Boy Exotics harmless from any claims, losses, or damages arising from your breach of these Terms, your misuse of the Site, or false information you provide to us.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, the state in which Liora Labs, Inc. is incorporated, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Services will be resolved in the state or federal courts located in Delaware, unless otherwise required by applicable consumer protection law in your state of residence.

14. Changes to These Terms

We may revise these Terms from time to time. The "Last updated" date reflects the most recent revision. Continued use of the Site after changes take effect constitutes acceptance of the revised Terms.
